Submitted herewith on behalf of Two Hearts Communications, LLC ("THC")
is an application of FCC Form 302-AM requesting authority for Station
KGDC, Walla Walla, Washington, to operate by the direct method of
determining its operating power.
This application is filed in
connection with an application being filed by WW2, LLC for a license
to cover its construction permit BP-20151119AQC for Station KTEL,
Walla Walla, Washington, to co-locate and operate on a di-plex basis
with Station KGDC. Included in the KGDC license application is a copy
of an agreement between THC and WW2, LLC establishing that THC is
responsible for the maintenance of the di-plexing system shared by the
two stations.

This Agreement is entered into as of July, 2017, by
and between Two Hearts Comunications, LLC ("THC") and
WW2, LLC (WW2")
WHEREAS, T1IC and WW2 operate AM radio stations that
are co-located and di-plexed on a single antenna system
(the 01-Flexed Site),
WHEREAS, as a condition of WW2'
construction permit
to operate from the Di-Plexed Site, WW2 was required to
enter into a binding agreement with THC establishing which
of the users of the Di-Plexed Site shall be responsible for
funding, installation and maintenance of the filters, traps
and other equipment necessary to prevent interaction,
intermediation and/or generation of spurious radiation
products which may be caused by common usage of the DiFlexed Site.
WW2 hereby confirms that it has agreed to be, and is,
solely responsible for the installation and maintenance of
such filters, traps and other equipment as may be necessary
to prevent interaction, intermediation and/or generation of
spurious radiation products which may be caused by common
usage of the Di-Plexed Site and THC acknowledges and agrees
that such responsibility shall rest solely with WW2.
IN WITNESS WHEREOF, the parties hereto have executed
this Agreement as of the date first above written.
